1. Terms of Service

"You", means you as an individual or if applicable, the company or legal entity you represent.
"User" means any individual that uses Knowtions
"Us" or "We" or the "Platform" means Ontario-based, Knowtions Research Inc and its platform knowtions.com
"Service" means any and all of the services offered by Knowtions on knowtions.com
"Scientists" refers to third parties who provide technical translation services to customers of Knowtions (not employees)
"Orders" "Projects" refers to orders created by the customer, and accepted by Knowtions in the platform, unless otherwise in writing.
"Translations" refers to content translated from customer materials. This includes "Translation Memory". Translation Memory refers to a method of storing translations in a database so that it can be reused to improve translation consistency.
If you are using or opening an account on the Platform on behalf of a company, entity, or organization, then you represent that you are an authorized representative of that entity with the authority to bind such organization to these Terms, and you agree to be bound by these Terms on behalf of such Subscribing Organization.
As a user, you agree to:
1. use the website and the services only in a manner that is accepted and legal according to all applicable laws and regulations
2. not upload or post any any defamatory, libellous, unlawful, or inappropriate content.
3. not impersonate any person or entity, falsely claim an affiliation with any person or entity, or access the Platform accounts of others without permission. Please don't commit any fraudulent activity.
4. not delete or infringe on the copyright or other proprietary rights of Knowtions
5. not make unsolicited offers, advertisements, proposals, or send junk mail or spam to other Users. This includes, but is not limited to, unsolicited advertising, promotional materials, or other solicitation material, bulk mailing of commercial advertising, chain mail, informational announcements, charity requests, and petitions for signatures.
6. not contact or solicit our Scientists to perform a translation or any service outside of the website without a written agreement with Knowtions.
7. not hack or reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of Knowtions
8. not interfere with or damage operation of the Knowtions Platform or any User’s enjoyment of them by using viruses, adware, spyware, worms, or other malicious code injections.
We will may suspend or terminate your access to the Service or an Order if you don't comply with this agreement, or if we suspect misconduct, fraudulent activities or payment, or a violation of this agreement, with or without notice.
We may modify or suspend the Platform or Service at any time, for any reason.
Orders & Approvals
You may initiate an order by completing the Order Form. All necessary fields must be completed in order to submit the project into the system. Specific project requirements must be stated in the instruction field. If there are material changes made to the order during the translation process, such as, but not limited to, adding new text, modifying existing text, or requesting linguistic and stylistic changes, Knowtions will conduct a separate assessment of the charges of the order.
Knowtions provides gross calculations for all orders before orders are submitted and approved in the system. This means that unless otherwise arranged, as is with our Partner accounts (See our
Service Reliability Policy
), payment must be paid in full, without any deductions for or on account of any tax, duties, charges, or fees imposed by any governmental, fiscal, or other authority. Unless otherwise arranged in writing, Knowtions uses the third party payment platforms, Stripe, the Stripe API, PayPal, the PayPal API, and in conjunction, your Stripe or PayPal account to process credit and debit card transactions. By using Knowtions and agreeing to the Knowtions Terms of Service, You also agree to be bound by Stripe’s and PayPal's Terms of Service.
You may cancel orders at any point during the Service, provided that the project has not been claimed by a Scientist. If the Scientist has already claimed a project, Knowtions will charge for all work performed up to the time of cancellation. A partial refund may be issued in the form of a charge reversal or a future discount, the amount of which will be determined by Knowtions.
We cannot guarantee that your work will be performed by any specific Scientist or that any Scientist will claim your order. However, all of our translations are performed in accordance with our Service Reliability Policy. Knowtions provides an estimated time of delivery, but we cannot guarantee an exact delivery time. We will notify you via email when the Translation is ready for your review
Upon project completion, you have an evaluation period of three days to evaluate the translation to your satisfaction. Should you find that the Translated Work does not conform to the specific requirements stipulated via the order form, Knowtions will bear the cost of conducting a review of the Translated Material at its discretion and/or re-assign the project to another team of Scientists at no additional charge to you. This Satisfaction Guarantee clause carries through for all re-translations conducted until you are satisfied with the work.
You agree that you will review any of the translations we provide before making the translation public. You expressly agree that Knowtions will not have any liability or indemnity obligations to you based on the Translation if you fail to do so.
Knowtions recruits third party independent contractors called "Scientists" to provide Translation and other related scientific services. Our recruitment methods are described in our Service Reliability Policy. Knowtions is solely responsible for paying and resolving any and all disputes with Scientist.
Client Materials & Disclosure
We disclose your client materials to our Scientists for the purpose of allowing Scientists to translate the work. All of our Scientists sign our Scientist Agreement, which includes non-disclosure, non-competition, and confidentiality clauses. Access to all translations is revoked 48 hours following completion. You are responsible for removing any confidential or personally identifiable information.
All intellectual property rights in the Translations are assigned to you, upon your approval of the order and with your compliance to these terms. In order to improve our services to you, we may use your Translations (such as to improve machine learning systems) for internal research. None of your Translations will ever be made publicly available.
If you opt-in to allow us to use your Translation as part of our "portfolio", you grant us a perpetual, worldwide, royalty-free, irrevocable, sub-licensable and transferable license to store, use, modify, reproduce, or distribute the Translation in order to promote and improve our Services. This license continues even when you stop using our services.
We own all of the trademarks, names, logos, and service marks such as "Knowtions, "Knowtions". In no case do we grant third parties right to use our trademarks without written permission from us. These trademarks are protected by law and cannot be distributed, published or transmitted in any manner.
If you submit feedback or suggestions about our Services, we may use your feedback or suggestions. If we choose to reproduce or distribute your comments on our platform or in our promotional materials, we will notify you ahead of time.
Warranties & Disclaimers
YOU EXPRESSLY AGREE THAT THE USE OF THE KNOWTIONS PLATFORM IS AT YOUR SOLE RISK. THE KNOWTIONS PLATFORM AND ANY DATA, INFORMATION, THIRD-PARTY SOFTWARE, CONTENT (INCLUDING COMMERCIAL CONTENT), REFERENCE SITES, SERVICES, OR APPLICATIONS MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH THE PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE”, “WITH ALL FAULTS” BASIS AND WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND EITHER EXPRESS OR IMPLIED.
You agree to hold Knowtions, contractors, employees, agents and its third-party suppliers, licensors, and partners harmless from any claims, losses, damages, liabilities, including legal fees and expenses because of a) your inability to use the platform or your misuse of the Platform; b) any of your violations of these terms; c) any breach of the representations, warranties, and covenants made by You.
This agreement is governed by laws in the Province of Ontario, Canada. Any disputes shall be resolved in provincial or federal courts of Canada. The services are offered by Knowtions Research Inc, located at: 100 College Street, Unit 325, Toronto, Canada, M5G 1L5, and email:
Knowtions may amend this Agreement at any time by posting a revised version on the Site. We'll notify you of the most recent version of these terms. Each revised version will state its effective date (the "last modified date"), which will be on or after the date we post it.
If the revised version materially reduces your rights or increases your responsibilities, we may post it in advance of the effective date in order to give you notice. Regardless, we will make an effort to update you on any changes to the Terms through email or directly through our website.
Your continued use of the Platform after the effective date of a revised version of this Agreement constitutes your acceptance of its terms. If you don't accept this agreement in its entirety, you can't access or use the Platform. These terms and any rights and licenses granted in here can't be transferred or assigned by You.
If any of the Terms in this agreement is for any reason unenforceable, then that provision will be limited or eliminated from these Terms, and will not affect the validity and enforceability of any remaining terms. If for any reason you terminate use of the Platform, this doesn't mean we've given up on any rights we may have (viz., taking up actions in the future).

What We Collect
"Personally identifiable" information:
(including, but not limited to, your name, email address, postal mailing address, avatars, phone number) that can be used to contact or identify you.
We will also collect certain personal information such as credit card information, PayPal or other financial account information and billing address should you choose use Knowtions; such information is stored with the relevant third-party. For purchases, your credit card information or other financial account information will be stored with Stripe or PayPal. We do not store credit card information on our platform.

We use “cookies” to collect information. A cookie is a small data file that We transfer to Your computer’s hard disk for record-keeping purposes.
We also collect statistics (metrics, such as time of claiming projects, time of completion) on all Translations conducted on Knowtions.
"Automatically Collected Data":
When you access the platform or open one of our HTML emails, we may automatically record certain information from your system by using different types of tracking technology. This “automatically collected” information may include Internet Protocol address (“IP Address”), a unique device or user ID, version of software installed, system type, the referring search query used to locate content and pages on Knowtions, the content and pages that You access on the Knowtions Platform, and the dates and times that You visit Knowtions.
How We Use Your Information
We use automatically collected data (including cookies) to improve and monitor our services. We also use information we collect from you to better diagnose or fix technology problems associated with our service.
Emails you provide will only be used to share notifications or service related communication. We may also send you newsletters or special offers. If you don't want to receive these communication, you can change your mailing preferences in your account.
How We Share Your Information
We will NEVER share your personally identifiable information with other organizations for their marketing or promotional uses without Your prior express consent. Some Scientist profiles may be publicly viewable on www.knowtions.com or in the promotional materials on our platform. These profiles include information including, but not limited to, profile picture, name, location, accreditations. We will never post your profiles without your consent. You are free to withdraw your consent to show your public profile whenever by writing to us.
We may share aggregate or other types of non-personally identifiable or automatically collected data to improve our services. For example, we may share login frequency, browser type, number of clicks, to third parties we work with in order to help us understand how to better improve your experience.
If you're under 13 years of age, please do not use Knowtions.
If you're the parent or legal guardian of a child under 13 who has a Knowtions Scientist account, please contact us so we can deactivate your child's account.
Protecting the privacy of young children is important to us. That's why we don't knowingly collect or maintain personally identifiable information from people under 13 years-of-age. If we do find out someone is under 13, we'll take appropriate steps to delete this.
How We Protect Your Information
We take all reasonable precautions to protect your personal information. But no platform or service can guarantee 100% security when transmitting information over the Internet. When you enter sensitive information such as as credit card information (which we do not store on our servers), we encrypt that information using secure socket layer technology (SSL). We also encrypt all sensitive information when it is stored on our system. This is also one of the reasons we do not provide e-mail attachments of translation projects over e-mail.
If there is a compromise in security or integrity of your unencrypted personal data, we'll let you know in the most expedient time possible and without unreasonable delay.
Where Your Information is Stored
We are a Canadian corporation with global operations, which include activities in the United States. Your data is held in the United States and transactions are processed in either USD or CAD in Canada or the US. All data is held in accordance with US and CA law which differ from other regions of the world, such as the EU. By using this service you acknowledge and agree to our data policies.
3. Service Reliability Policy

Subject Matter Experts
Knowtions is committed to recruiting reliable, formally trained subject matter experts. We recruit only graduate-level bilingual scientists in life sciences/engineering, who have international academic or research experience and who have worked in their labs translating materials for the equivalent of 2 years full time equivalent. We validate prospective subject matter experts using institutional validation, research publication screening, resume review, and a two-part language proficiency assessment (multiple choice and written component). Only 20% of Ph.Ds and post-doctoral researchers are pass our qualifying process.
To ensure service reliability, we have established a method of community-based quality assessment of translation output. We routinely monitor and evaluate the performance of all Scientists (from job pick-up time, terminology consistency, translation time) to minimize margins of error.
Reliability & Delivery
We're always committed to delivering translations on or ahead of the estimated delivery time. If there are unexpected delays, we will notify you beforehand. All projects are delivered in its original format. All additional translation collateral will also be made available for download.
We're also committed to keeping you informed on the production capacity of the platform at all times. If the platform is at or near full capacity, the delivery time will be adjusted before you initiate a new order.
To ensure transparency of the entire process, you are able to monitor the translation progress and the remaining time for all of your files at any time during the order.

Ownership of Translation Components & Reuse
Your intellectual property is securely stored and encrypted at cloud service providers, Amazon and DigitalOcean. You own all of the intellectual property rights to all translated materials. None of your translations will ever be made publicly available. None of your translations are translated via email.
We're committed to providing you with automated discounts based on Translation Memory. Translation Memory refers to a method of storing translations that allows new translation orders to be matched against previous translations. This is a backend process that yields two benefits: 1) consistency of phrasing in your materials, especially when different translators work with similar texts; 2) service discounts because of the availability of similar translations that can be used as a reference. On average, it is estimated that clients can save up to 20-40% of translation costs over time.
Our goal is to provide you with reliable technical translations that can be stored in your account, so that it may be reused in the future. At the same time, we want you to have complete control of all of these technical assets so that you are not bound to our platform.
Translation reuse discounts will be provided to you automatically upon the creation of new orders. A separate breakdown of the discounts is provided in the order.
All translation memory files in your Knowtions account can be downloaded without restrictions.
We currently support all Microsoft Office files that do not have password protection or encryption. We also support copy and paste text, TXT, RTF, and OpenOffice file formats (*.ODT, *ODS). The full file compatibility list is made available on the first page of the order form.
We are committed to supporting PDF files, but because PDF files are proprietary "output" files (files meant only for publishing or printing--activities where no more editing is required), we may be unable to conform to original formatting on delivery.
If an order is flagged by Scientists to be un-translatable, i.e., due to text recognition issues (such as handwriting) or corrupt files, the order will be cancelled and you will not be charged for the project.
We continue to add new file types, and will keep you up-to-date on our current status with file compatibilities.
Knowtions Partners are billed on a net 30 and net 45 basis. You will not be charged until the translation is claimed by a Scientist.

Client’s Roles and Responsibilities
The client will specify in writing to Knowtions prior to each order, the formal requirements and subject nature of the project, as well as the expected file format of delivery, and the languages into and from which Knowtions is being contracted to translate. The client will use its best efforts to obtain and send Knowtions all available glossaries, background documents and presentations on project creation.
Modifications or Amendment to Protocol
Unless put in writing and signed by both parties, no amendment, change, or modification of this Agreement is valid.
Either Party may terminate this Agreement at any time upon 30 days written notice sent to the other Party using the contact information provided on this page. In the event of such termination, the Parties agree to act in good faith toward one another during the notice period. In the event of termination of this Agreement, the client must compensate Knowtions for all services performed through the date of termination.
4. Scientist Agreement

This agreement is made between you ("Scientist") and Knowtions Research Inc, an Ontario corporation "Knowtions". You must agree to the following terms before you work as a Knowtions Scientist.
deliver scientifically and linguistically accurate translations to the best of your ability. We perform routine quality assessments of your translation output. Please do not undertake projects that you are not confident in providing the same level of subject matter expertise as your formal academic or research project.
complete projects within the time limit. Clients need projects completed by specific deadlines. By claiming and idling, you may be holding up the service process. By claiming, team leaders will monitor your translation progress, in some occasions, clients might also see your translation progress.
provide your scientific expertise only when it is absolutely crucial. Your comments will be reviewed by team leaders and editors before processing to clients (in urgent cases, your comments will be directly sent to clients for clarifications and feedback), provide concise explanation of issues (ambiguities, inaccuracies) only when necessary to avoid misunderstandings in a reading of the translation. Additional commentary, if not requested by the client, may result in project delays.
flag and reject projects that are offensive, inappropriate, suspicious, or corrupt/untranslatable
Our job is to ensure that we bring a diversity and large volume of scientific translation projects to you. More than that, we promise to:
pay and automatically generate payment receipts to you as timely as possible.
resolve bugs and job issues as quickly as possible, usually within a few hours. We'll do our best to fix all issues in a timely manner.
review disputes between Clients and Scientists. Knowtions participates in all projects in which clients communicate with scientists, particularly when clients reject completed translations
create the largest, most closely-knit, Ph.D. bilingual community in the world by promoting community events, career opportunities, and your personal research. We're committed to bringing the Ph.D. community closer together in every city we are in.
You promise to represent Knowtions in a manner consistent with Knowtion's high quality image and good reputation and in a manner that will reflect favorably on the Knowtions and its products.
During and after the term of this Agreement, you agree to not disparage or otherwise refer to the Knowtions or any of the Knowtion's shareholders, directors, officers, agents, clients, employees or products in a derogatory manner by way of writing, oral statements or any other manner whatsoever.

Terms of Payment
Payment processing services for Scientists on Knowtions are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). Other third-party payment options we use include Payoneer, Interac, and PayPal. We pay Scientists on the 1st of every month if your balance exceeds or equals $50. We are always committed to paying on-time, but in some cases, unavoidable payment delays due to disruptions to our third party payment providers, which Knowtions cannot be held responsible for.
By agreeing to this agreement, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Knowtions enabling payment processing services through Stripe, you agree to provide Knowtions accurate and complete information about you and your business, and you authorize Knowtions to share it and transaction information related to your use of the payment processing services provided by Stripe.
Copyright, Confidentiality, and Non-Competition
You acknowledge and agree that in the course of carrying out its responsibilities to Knowtions under this Agreement, you will have access to and will be entrusted with detailed confidential information, including, without limitation, all trade secrets and confidential information such as know-how, information about existing, new or envisioned products and processes and their development and performance, any scientific, engineering, or technical information, data, computer software and firmware, business and financial information, lists of names and information relating to manufacturing, purchasing, inventories, data processing, personnel, marketing, sales, pricing, costs and quotations (collectively the “Confidential Information”). You acknowledge and agree that the disclosure of any Confidential Information to competitors of the Company or to the general public would be highly detrimental to the best interests of the Company.
You acknowledge and agree that the right to maintain the confidentiality of the confidential information and the right to preserve its goodwill, are both rights that Knowtions is entitled to protect, and that the confidential information is and shall remain the exclusive property of Knowtions or its clients. Accordingly, you agree with Knowtions that, except with prior consent of Knowtions, you will not, either during the term of this Agreement or at any time thereafter disclose any of the confidential information to any person outside Knowtions, nor shall you use the same for any purpose other than the purposes of Knowtions.
You acknowledge and agree that all confidential information will not be mechanically copied or reproduced other than for the purposes required for the performance of the responsibilities as a Scientist for Knowtions.
Any and all ideas, designs, procedures, formulas, inventions or improvements (whether patented, patentable or not), trade name, logos and writings and other materials written or produced by the Contractor (collectively, the “Intellectual Property”) which you may translate will be the exclusive property of the client of Knowtions. You waive all rights or title to the intellectual property of the translation.
Your Working Status
The provisions of this Agreement shall not be construed as, nor shall they in any way be deemed to create an employment relationship between you and Knowtions. Your working status is an independent contractor. Apart from those benefits and compensation expressly provided for in this agreement and in the Terms of Service, you are not entitled to any medical, pension, insurance, disability or other benefits. You are not allowed to make any statements, representations, warranties or commitments of any kind on behalf of Knowtions that may be binding upon Knowtions as against any third party.
Terms & Termination
Your relationship with us begins on the date you signed-up with us.
Knowtions has the option of immediately terminating the Agreement at any time without advance notice for any material breach of this Agreement by you. Grounds for termination include:
Violating this agreement or the Terms of Service
Cheating or attempting to cheat on Knowtions tests
Failure to communicate in a professional or courteous way to our customers, other Scientists, or Knowtions staff.
Upon the termination of this Agreement and your relationship with the Company, you will not have any claims against the Company for damages or any other compensation or relief arising of or in respect to this Agreement or your relationship with the Company, except for payments of any amount owed to you.
The Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada. In addition to the rights and remedies provided for in this agreement, the Company also expressly reserves all rights which may be otherwise available to it at common law or by statute. In addition to the rights and remedies provided for in this agreement, the Scientist also expressly reserves all rights which may be otherwise available to it at common law or by statute.
